Imagination.

It’s what separates typical from terrific. Laws are written in black and white and understood in shades of gray. They are deciphered, decoded, construed, and interpreted. If the issues in a lawsuit are black and white, if it’s clear who’s going to win, there’s little reason to pursue the dispute. Big deals are structured creatively -- you only get that which you can successfully negotiate.


And a lawyer who can’t see the big picture, or who sees only the traditional black and white issues, doesn’t provide as much value as one whose approach is more visionary. That’s the lawyer who can see the big picture and look through to the conclusion, and thus work backwards from their client’s success.

Ideally, the Law is an endeavor of Imagination, of creativity and innovation. If you can find a new approach, one the other side of the table hasn’t considered, you hold a trump card. In litigation, if you can envision an entirely new defense or approach, you have more ammunition to use in pursuit of your client’s goals. Imagination is what creates new legal theories. Any skilled practitioner can replicate what they were taught, to repeat “the way it’s always done.” But to create something entirely new and improved, that takes Imagination.


At Shefsky & Froelich it’s in our culture, our very DNA. That’s what we do. It’s what we’ve always done. Forty years ago, our firm was just getting started. A handful of bright young lawyers looked to build their law practice starting with a few institutional clients. They didn’t have the connections that gained access into corporate boardrooms, and they knew that to pry open the doors, they would need something unique and valuable.


And they had time back then. So they’d sit in their offices and think. They’d simply close their eyes, put their feet up on their desks, and try to invent a new approach, a new structure, a new theory, something no one had ever done before. Eventually, one of them would open his eyes, smile, and scratch out something exceptional -- something entirely new. Then they’d call their clients or contacts and tell them that they had just discovered a way to save them millions of dollars. And they’d smile, too.


Then they’d sit down, put their feet up, and do it all over again.


Imagination.

That’s how every firm would do it, if they could. And it’s how our lawyers approach each and every representation. And that’s the core of what we have taught each and every one of our lawyers -- to look at every matter with clear eyes and a fresh perspective. That’s how we’re trained. To search for the resourceful motion that will dismiss our client early from a bet-the-company case. To create a new structure in a complex commercial transaction that will accomplish our clients’ goals with greater tax advantages. Or just to dig deeply into a corporate finance client’s ultimate objectives and find a way to do their deal in a way that meets those objectives.

It’s looking at things in an entirely fresh way, with no preconceptions about precedent or how something is "supposed" to be done.


It’s never saying, "Because that’s how we’ve always done it here." It’s always asking, "Why?" or "Why not?" It’s taking nothing for granted, ever. It’s starting from a clean slate every time, to make sure you're never just stumbling through the motions.
