Cezar M. ("Cid") Froelich concentrates his practice in corporate finance, mergers & acquisitions, and gaming. He advises a broad range of clients including investment banking and brokerage firms, publicly held entities, including boards of directors, audit and compensation committees, and privately held entities.
Prior to founding the firm, he served as a Staff Attorney with the United States Securities and Exchange Commission.
Represented the City of Detroit in connection with a $650 million restructuring.
Represented senior group of lenders in a $1.3 billion restructuring.
Represented company in its IPO.
Represents large financial services companies and private equity funds in connection with investment banking and private equity matters.
Assists several large gaming companies and institutional investors in connection with acquisition, regulatory, and other gaming matters.
Represented two large municipalities in connection with drafting legislation, issuing RFQPs, advising on selection of gaming companies, negotiating development or management agreements relating to multibillion dollar gaming/resort projects, and subsequent restructuring of one of three casinos in one of the municipalities.
Represented, together with Canadian local counsel, several institutional investors in a cross-border acquisition and subsequent restructuring of nine assets located throughout Canada.
Represents a large real estate services firm in connection with its sale to an international financial institution.
Represents audit and other committees of NYSE, AMEX, and NASDAQ companies in connection with various matters, including reviews of companies’ internal controls over financial reporting, disclosure controls, and procedures and compliance with Section 404 of the Sarbanes-Oxley Act.
Assists litigation partners of the firm in defending several large securities class action cases against entities and boards of directors, including one case of settlement.

In addition, Mr. Froelich has been selected to The Best Lawyers in America for Gaming Law from 2006-2013.

Cid has authored numerous articles. Topics have included "Standing of Securities Plaintiffs: Which Way the Trend," "Strategic Land-Deal Planning" and “Investing in Tribal Gaming.”
Cid has spoken at conferences on securities, real estate investment trusts, and gaming law. He has also served as a Lecturer in Securities Regulation at the DePaul University College of Law.
