Cezar M. ("Cid") Froelich concentrates his practice in corporate finance, mergers & acquisitions, and gaming. He advises a broad range of clients including investment banking and brokerage firms, publicly held entities, including boards of directors, audit and compensation committees, and privately held entities.
Prior to founding the firm, he served as a Staff Attorney with the United States Securities and Exchange Commission.

RECENT/SIGNIFICANT REPRESENTATIONSRepresents the City of Detroit in connection with its three casinos. Most recently, represented the City in connection with restructuring one casino in bankruptcy.

Represents three large financial services companies and private equity funds in connection with investment banking and private equity matters.
Assists several large gaming companies and institutional investors in connection with acquisition, regulatory, and other gaming matters.
Represented several states and large municipalities in connection with drafting legislation, issuing RFQPs, advising on selection of gaming companies, and negotiating development or management agreements relating to multibillion dollar gaming/resort projects.
Represented, together with Canadian local counsel, two large institutional investors in a cross-border acquisition of nine assets located throughout Canada.
Represents audit and other committees of NYSE, AMEX, and NASDAQ companies in connection with various matters, including reviews of companies’ internal controls over financial reporting, disclosure controls, and procedures and compliance with Section 404 of the Sarbanes-Oxley Act.
Assists litigation partners of the firm in defending and settling large securities class action cases against companies and boards of directors.
