As part of Shefsky & Froelich's corporate and securities practice, we represent clients in mergers, acquisitions, divestitures, leveraged buyouts, spin-offs, recapitalizations and other corporate restructurings, issuer and third-party exchange offers, proxy contests, and joint ventures. Given the key role attorneys play in business combinations, much of our work in this area involves early-stage corporate and tax planning to help the clients structure and prepare for the transactions, as well as negotiating and drafting the documents necessary to complete the transaction.
