Mergers & Acquisitions
As part of Shefsky & Froelich's corporate and securities practice, we represent clients in mergers, acquisitions, divestitures, leveraged buyouts, spin-offs, recapitalizations and other corporate restructurings, issuer and third-party exchange offers, proxy contests, and joint ventures. Given the key role attorneys play in business combinations, much of our work in this area involves early-stage corporate and tax planning to help the clients structure and prepare for the transactions, as well as negotiating and drafting the documents necessary to complete the transaction.
Business Lawyers for Business Leaders
Shefsky & Froelich attorneys have a deal-making devotion to transactions that work – in corporate finance and capital market transactions, from private placements of securities to takeovers of publicly held companies – driving us to find innovative solutions to the inevitable challenges that arise along the way.
And, imagination permeates every practice area in which we concentrate. Our attorneys envision and implement strategies that reflect our understanding of the business implications of our counsel. Clients seek us out for their most complex matters, the ones that demand innovative remedies. You will see it in the examples of our work. It’s just what we do.
Our clients are domestic and multinational businesses, closely held and publicly traded companies and Fortune 500 corporations, as well as entrepreneurs and emerging growth companies. Our attorneys are retained to represent and advise them in day-to-day business transactions, such as corporate formation, tax, contracts, disputes, and litigation, as well as in complex and high-stakes matters, including initial public and secondary offerings, public financings, private placements, venture capital investments, succession planning, workouts, bankruptcy, and insolvency.
A Client-Driven, Interdisciplinary Approach
Today's highly competitive environment requires quick, sophisticated assessment of an array of legal and regulatory issues. The right solution to a problem often requires a strategically tailored combination of corporate, contract, securities, tax, and dispute resolution options. Our innovative attorneys work in cohesive teams, responding quickly and efficiently with the right approach to avoid a problem, resolve a problem, or exploit an opportunity.
Shefsky & Froelich’s tax attorneys structure practical, economic solutions to our clients’ tax needs, whether for routine tax audits and appeals or for foreign tax planning and tax litigation. Envisioning new strategies for avoiding tax consequences triggered by mergers and acquisitions, our attorneys implement tax structures that advance our clients’ desired business or economic goals. Our clients include closely held entities including S corporations, family and development partnerships, and limited liability companies.
Many of our clients engage in international transactions to take advantage of increasing global business opportunities. We represent both domestic companies doing business in international markets and foreign companies doing business here. These transactions take many forms: direct investment by acquisition, joint venture with foreign partners, creating a foreign subsidiary, and appointing foreign distributors and agents. Our substantial international experience in Europe, Asia, and South America allows us to structure deals and guide clients skillfully through the complexities of international business.
