Real Estate Investment Trust Representations
Shefsky & Froelich attorneys have extensive experience representing listed and unlisted real estate investment trusts, or “REITs,” and real estate operating companies. We guide private company boards of directors and real estate program sponsors through the initial public offering process and provide counsel to address specific issues encountered by newly public companies, including counseling entities in connection with the listing of their common stock on the New York Stock Exchange. Our counsel also extends to representing clients in follow-on offerings, debt offerings and exchange offers. Several of our clients have sold securities in excess of $5 billion.
We represent REITs and real estate operating companies in all manner of merger and acquisition transactions, and have particular expertise in REIT internalization mergers, having represented both acquiring and acquired entities.
Our attorneys advise clients regarding periodic and annual reporting and other Securities and Exchange Commission disclosure requirements, and have represented our clients in a variety of proxy and tender offer situations.
We provide counsel regarding state corporate law and securities matters, including “blue sky” issues. In addition, we counsel broker-dealers on compliance with applicable regulations of the Financial Industry Regulatory Authority (FINRA) in connection with the distribution of real estate-related securities.
Our attorneys frequently serve on the faculty of REIT industry conferences, including IMN’s non-traded REIT Industry Symposiums and the annual conferences of the Investment Program Association.
